Terms of Business

These Terms and Conditions of Business apply solely to legal services provided by Gary Irwin Solicitors in connection with a mortgage switch transaction. They should be read together with the Letter of Engagement and Client Care Letter issued to you in respect of your mortgage switch.

1. Our Firm and Regulatory Status

Gary Irwin Solicitors is a firm of solicitors practising in Ireland. We are regulated by the Legal Services Regulatory Authority (LSRA). All legal services referred to in these Terms are provided exclusively by this firm.

2. Scope of These Terms

These Terms apply only to a mortgage switch transaction. They do not apply to a sale or purchase of property, refinancing involving additional borrowing beyond the scope disclosed at quotation stage, or any other legal services unless expressly agreed in writing.

3. Relationship with the QuickMove Platform

QuickMove ("QM") is a software platform used to facilitate digital workflows, communications and document exchange. QM does not provide legal services or legal advice and is not a party to the solicitor–client relationship.

All legal services are provided solely by Gary Irwin Solicitors. Nothing in these Terms creates any contractual or professional relationship between you and QM in respect of legal services.

4. Instructions and Reliance

You must provide clear, accurate and complete instructions. We are entitled to rely on the accuracy of information provided by you and are not responsible for errors or delays arising from incomplete or inaccurate instructions.

5. Legal Fees and Outlays

The legal fee applicable to your mortgage switch was generated and accepted by you via the QM platform prior to this engagement. That quote and the terms governing it form part of the contractual arrangements between the parties and are incorporated by reference into these Terms.

You are responsible for payment of all agreed legal fees, outlays and applicable taxes. Additional fees or outlays may arise where work falls outside the scope assumed at quotation stage. We will notify you where required by law.

6. Professional Obligations and Standard of Care

We will provide legal services with reasonable skill and care in accordance with applicable professional standards and regulatory obligations.

7. Conflicts of Interest

We conduct conflict checks before accepting instructions. If a conflict arises which prevents us from continuing to act, we may be required to cease acting in accordance with our professional obligations.

8. Anti-Money Laundering

We are required to comply with anti-money laundering legislation, including verification of identity and source of funds. We may be required to make disclosures to statutory authorities without notice to you where required by law.

9. Confidentiality and Data Protection

We will treat your information as confidential, subject to legal and regulatory obligations. Personal data will be processed in accordance with applicable data protection legislation.

10. Communications

We may communicate with you by email, telephone, post and secure digital platforms. Electronic communications may carry inherent security risks.

11. Undertakings

If we give a professional undertaking on your behalf in reliance on your instructions, you may not withdraw or vary those instructions once the undertaking has been given.

12. Limitation of Liability

To the fullest extent permitted by law, our liability to you arising out of this engagement, whether in contract, tort, statute or otherwise, shall be limited to the greater of:

  • (a) the minimum level of professional indemnity insurance required to be maintained by us €1.5M; or
  • (b) such higher amount as may be expressly agreed in writing.

Nothing in these Terms limits liability where such limitation is not permitted by law, including liability for fraud or fraudulent concealment.

13. Termination

You may terminate your instructions at any time. We may cease acting where permitted by law or regulation, including for non-payment of fees or where continuing to act would breach our professional obligations.

14. File Retention

We will retain your file in accordance with legal and regulatory requirements. We may charge reasonable storage or retrieval fees where applicable.

15. Governing Law

These Terms and Conditions are governed by the laws of Ireland and subject to the exclusive jurisdiction of the Irish courts.

16. Acceptance

By instructing us to proceed with your mortgage switch, you confirm your acceptance of these Terms and Conditions of Business.
